1. Acceptance of these Terms
These Terms & Conditions ("Terms") form a binding agreement between Tripkoz Technologies ("Tripkoz", "we", "us") and the organisation or individual accessing the Tripkoz platform ("you", "Customer", "User").
You accept these Terms — and confirm that you have the authority to accept them on behalf of the organisation you represent — by doing any of the following:
- Creating a Tripkoz account, or accepting an invitation to join an organisation on Tripkoz;
- Signing in to the Tripkoz web dashboard or mobile application, by any method (email and password, phone OTP, or an organisation invitation link);
- Accessing or using any part of the Service, whether or not you complete a sign-in;
- Subscribing to, or paying for, any Tripkoz plan.
Signing in is itself acceptance. Each time you sign in, your account records that you have agreed to the version of these Terms then in force, along with the date, time and originating IP address. That record is retained as evidence of your agreement. If you do not agree to these Terms, do not sign in and do not use the Service.
If you accept these Terms on behalf of a school, college, company, fleet operator or other entity, you represent that you are authorised to bind that entity, and "you" refers to that entity.
2. Definitions
- "Service" means the Tripkoz web dashboard, mobile applications, APIs, notifications and related services.
- "Organisation" means the school, college, company, fleet operator or independent driver account under which users are registered.
- "Administrator" means a user with permission to manage an Organisation's account, users, vehicles, routes or billing.
- "Driver" means a user assigned to operate a vehicle and execute trips through the Service.
- "Guardian" means a parent, guardian or authorised contact who receives trip and safety updates for a Passenger.
- "Passenger" means a student, employee or other individual transported on a trip recorded in the Service.
- "Customer Data" means all data you or your users submit to, or generate through, the Service — including passenger records, driver records, vehicle documents, trip logs and location data.
3. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a contract to hold a Tripkoz account. Accounts are not offered directly to children; Passenger records are created and managed by an Organisation, not by the Passenger.
You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. Notify us immediately at support@tripkoz.com if you suspect unauthorised access.
Credentials are personal. Sharing a single login across multiple people defeats the audit trail the Service depends on and is not permitted.
Driver and Guardian accounts are provisioned for use in the Tripkoz mobile application. Administrator accounts are provisioned for the web dashboard.
4. Licence and scope of the Service
Subject to these Terms and to payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal transport-management purposes during your subscription term.
The Service is provided as software-as-a-service. We may improve, modify or discontinue features; where a change materially reduces core functionality of a paid plan, we will give reasonable prior notice.
You may not resell, sublicense, white-label or provide the Service to third parties except as expressly permitted in writing.
5. Your responsibilities
Tripkoz is a record-keeping and communication tool. Operating a safe transport service remains entirely your responsibility. In particular, you are responsible for:
- Verifying that drivers hold valid, current licences and any permits required by law, and that vehicles are roadworthy, insured and compliant with applicable motor vehicle regulations;
- Ensuring safety checks, inspections and maintenance are genuinely carried out — not merely recorded in the Service;
- Obtaining and maintaining all consents required to record and share passenger, guardian, driver and location data;
- Configuring roles and permissions so that users can access only the data they need;
- Responding to SOS alerts, incidents and emergencies through your own escalation procedures and the appropriate emergency services.
6. Passenger and children’s data
Where you use the Service to transport children, you confirm that you have obtained verifiable consent from a parent or lawful guardian for the collection and processing of that child's personal data, including trip attendance, boarding and drop-off records, and the sharing of that data with the Guardians you designate.
You are the data fiduciary in respect of Customer Data. Tripkoz acts as a data processor and processes Customer Data only on your documented instructions and as needed to provide the Service.
You will not upload sensitive personal data beyond what the Service is designed to hold, and you will not use the Service to profile, market to, or track children for any purpose unrelated to transport safety.
7. Location tracking and telematics
The Service collects vehicle and device location data during trips in order to provide live tracking, route adherence, arrival estimates and safety alerts. Location collection is tied to trip execution and to the permissions granted on each device.
You must inform drivers, passengers and guardians that location data is collected, how long it is retained, and who can see it. Where local law requires notices in vehicles or written driver consent, obtaining it is your responsibility.
Location accuracy depends on GPS availability, mobile network coverage, device settings and battery state. Positions shown in the Service are indicative and may be delayed, imprecise or unavailable. Do not rely on them as the sole basis for a safety-critical decision.
8. Safety features, SOS and emergency limitations
THE SERVICE IS NOT AN EMERGENCY SERVICE. SOS alerts, incident reports and breakdown notifications are delivered to the contacts you configure within the Service. They are not routed to police, ambulance, fire or any other public emergency authority.
In an emergency, always contact the appropriate emergency number directly. Alert delivery depends on network connectivity, device state and third-party push-notification providers, and cannot be guaranteed to be immediate or successful.
Safety checklists, inspection records and maintenance reminders are record-keeping aids. They do not constitute a certification, inspection or professional assessment of any vehicle or driver by Tripkoz.
9. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose, or in violation of any applicable transport, labour, privacy or data-protection law;
- Record false safety inspections, falsify trip or attendance records, or otherwise use the Service to create misleading compliance evidence;
- Access data belonging to another organisation, or attempt to defeat the tenant separation, authentication or permission controls of the Service;
- Probe, scan, penetration-test, overload, scrape or reverse-engineer the Service without our prior written consent;
- Upload malware, or any content that is unlawful, defamatory, or infringes a third party's rights;
- Use the Service to surveil individuals outside the legitimate purpose of transport safety and operations.
10. Subscriptions, billing and taxes
Paid plans are billed in Indian Rupees (INR) in advance on the billing cycle you select (monthly, quarterly or annual). Prices, plan limits and included features are those shown on our pricing page or in your order at the time of purchase.
Payments are processed by our payment partner. We do not store your full card or banking credentials. By subscribing you authorise recurring charges for the plan and cycle you have chosen, until you cancel.
Fees are exclusive of GST and any other applicable taxes, which will be added where required. Tax invoices are issued to the billing details on your account; keeping those details accurate is your responsibility.
Usage limits (users, drivers, vehicles, passengers, routes, trips) apply per plan; exceeding them may require an upgrade.
Except where required by law, fees already paid are non-refundable. Cancellation stops future renewals; it does not refund the current term. You keep access until the end of the paid period.
If a payment fails or remains overdue, we may suspend the account after reasonable notice. Data is retained during suspension in accordance with clause 15.
11. Data protection and privacy
We process personal data in accordance with the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000 (together with the rules made under them), and in accordance with our Privacy Policy, which forms part of these Terms.
Each Organisation's data is logically separated. We apply access controls, encryption in transit and at rest, and audit logging of significant actions. No system is perfectly secure, and we do not warrant that a breach can never occur.
We will notify you without undue delay of any personal data breach affecting your Customer Data, and will cooperate with you in meeting your own notification obligations.
Customer Data belongs to you. We do not sell it, and we do not use it to train models or for advertising. We may use aggregated, de-identified statistics to operate and improve the Service.
Customer Data is hosted on infrastructure located in or accessible from India and other jurisdictions where our cloud providers operate. By using the Service you consent to such processing, subject to the safeguards described in the Privacy Policy.
12. Intellectual property
The Service, including all software, interfaces, designs, documentation and trademarks, is and remains the property of Tripkoz and its licensors. These Terms grant you a right to use the Service, not any ownership in it.
You retain all rights in Customer Data. You grant us a limited licence to host, process, transmit and display Customer Data solely to provide and support the Service.
Feedback you provide about the Service may be used by us without restriction or obligation to you.
13. Third-party services
The Service relies on third parties including cloud hosting, mapping and geolocation providers, SMS and email gateways, push-notification services and payment gateways. Their availability and accuracy are outside our control, and their own terms govern their services.
We are not responsible for loss arising from a third-party outage, change or error, except to the extent we could reasonably have avoided it.
14. Availability and support
We aim to keep the Service available continuously, but we do not guarantee uninterrupted access. Planned maintenance will be scheduled to minimise disruption, with notice where practicable.
Support is provided via support@tripkoz.com during business hours. Any service-level commitments beyond this apply only if expressly stated in your plan or a separate written agreement.
15. Suspension, termination and data retention
You may cancel your subscription at any time from your account or by contacting us. We may suspend or terminate access if you materially breach these Terms, if fees remain unpaid, if your use poses a security or legal risk, or if required by law.
On termination, your right to use the Service ends immediately. You may request an export of your Customer Data within 30 days of termination. After that period we may delete Customer Data, subject to any retention required by law, and to backups that expire on their normal cycle.
Clauses that by their nature should survive termination — including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law — survive.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.
We do not warrant that the Service will be error-free, that location data will be accurate or timely, that alerts and notifications will always be delivered, or that the Service will meet any regulatory obligation that applies to you.
Tripkoz is not a transport operator, a vehicle inspector, an insurer or an emergency responder, and does not supervise the trips recorded in the Service.
17. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, however caused.
Our total aggregate liability arising out of or relating to the Service, in contract, tort or otherwise, will not exceed the total fees you paid to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim.
These limits do not apply to liability that cannot be excluded or limited under applicable law, or to a party's fraud or wilful misconduct.
You accept that these limits are a reasonable allocation of risk, and that our pricing reflects them.
18. Indemnity
You will indemnify and hold harmless Tripkoz, its officers, employees and contractors against claims, damages, losses and reasonable legal costs arising from your use of the Service in breach of these Terms, your Customer Data, your failure to obtain required consents, or your acts or omissions in operating transport services.
19. Changes to these Terms
We may update these Terms from time to time. The version in force is always the one published at /terms, identified by its version number and effective date.
Where a change is material, we will give notice in the Service or by email before it takes effect. Signing in after the effective date records your acceptance of the updated version, and your account's acceptance record is updated to reflect it.
If you do not agree to an updated version, stop using the Service and cancel your subscription before the effective date.
20. Governing law and dispute resolution
These Terms are governed by the laws of India, without regard to conflict-of-laws principles.
The parties will first attempt to resolve any dispute in good faith through discussion. Failing resolution within thirty (30) days, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Ahmedabad, Gujarat, India, and the proceedings will be in English.
Nothing in this clause prevents either party from seeking urgent interim relief from the courts at Ahmedabad, Gujarat, India, which have exclusive jurisdiction for that purpose.
21. Grievance redressal
In accordance with the Information Technology Act, 2000 and the rules made under it, and with the Digital Personal Data Protection Act, 2023, complaints regarding the Service or the processing of personal data may be sent to our Grievance Officer at grievance@tripkoz.com.
We will acknowledge a complaint within 24 hours and aim to resolve it within 15 days of receipt.
22. General
These Terms, together with the Privacy Policy and any order or plan you subscribe to, form the entire agreement between the parties and supersede prior discussions on the same subject.
If any provision is held unenforceable, the remainder stays in force. A failure to enforce a right is not a waiver of it.
You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
Neither party is liable for failure to perform caused by events beyond its reasonable control, including natural disasters, strikes, war, government action, network or power failures.
